Mickelson had a terrific day, also carding three birdies in the first five holes and even a bogey wasn't devastating after Lefty blasted a shot out of the woods.
Woods, meanwhile, missed birdie opportunities and saw Mickelson pass him by for the lead by settling for a 2-under 70 and went to the clubhouse at 12-under overall.
Watney salvaged what would have been a tough day with a 50-foot eagle putt on the 18th hole and tied Woods at 12-under.
Ryan Moore also shot a 70 and is one shot further back at 11-under heading into Sunday's final round.
